FASTPay END-USER LICENSE AGREEMENT (EULA)

Please read this End-User License Agreement ("Agreement" or "EULA") carefully before installing, accessing, or using FastPay ("Software" or "Application"), developed, owned, and operated by YadYap Pty Ltd (ABN: 67 634 645 677 / ACN: 634 645 677) ("YadYap", "Company", "we", "us", or "our").


By downloading, installing, accessing, or using FastPay, you ("User", "you", or "Licensee") agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms of this Agreement, do not install, access, or use the Software.


1. Grant of License

Subject to your compliance with this Agreement and payment of applicable subscription fees, YadYap Pty Ltd grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use FastPay solely for your internal business operations to connect your Stripe and QuickBooks accounts.


2. License Restrictions

  • You agree that you will not, directly or indirectly:
  • Copy, modify, translate, adapt, or create derivative works of the Software.
  • Reverse engineer, disassemble, decompile, or otherwise attempt to derive or gain access to the source code of the Software.
  • Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software to any third party.
  • Remove, alter, or obscure any proprietary notices, trademarks, or copyright symbols from the Software.
  • Use the Software in any manner that violates applicable local, state, national, or international laws or regulations.
  • Use the Software to transmit malicious code, viruses, or interfere with the integrity or performance of connected third-party services.


3. Third-Party Services Integration (Stripe & QuickBooks)

  • Integration Dependency: FastPay relies on APIs provided by third parties, including Stripe, Inc. ("Stripe") and Intuit Inc. ("QuickBooks"). YadYap Pty Ltd is not responsible or liable for any downtime, API changes, account suspensions, or service interruptions caused by Stripe or Intuit.
  • Third-Party Terms: Your use of FastPay requires active accounts with Stripe and QuickBooks. You remain bound by Stripe’s Services Agreement and Intuit’s Terms of Service. FastPay does not alter your legal relationships with these third parties.
  • Data Authorization: By linking your Stripe and QuickBooks accounts to FastPay, you grant YadYap Pty Ltd authorization to access, read, process, transfer, and synchronize transaction, customer, payout, and financial data between both platforms on your behalf.


4. Account & Security

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You agree to notify YadYap Pty Ltd immediately of any unauthorized access to or use of your account or credentials.
  • YadYap Pty Ltd shall not be liable for any losses caused by unauthorized use of your account resulting from your failure to safeguard your login details or API keys.


5. Fees & Payments

  • Access to FastPay is provided on a subscription basis. You agree to pay all applicable fees described during signup or in your invoice.
  • Failure to pay subscription fees may result in immediate suspension or termination of your access to the Software.
  • All fees are non-refundable except as explicitly set forth in writing by YadYap Pty Ltd or as required under applicable statutory laws (including Australian Consumer Law, where relevant).


6. Intellectual Property Rights

You acknowledge and agree that FastPay, including all copyrights, patents, trademarks, trade secrets, source code, and other intellectual property rights, is and shall remain the sole and exclusive property of YadYap Pty Ltd. This Agreement grants you a limited license to use the Software, not an ownership right in the Software.


7. Data Privacy & Security

  • YadYap Pty Ltd handles data in accordance with its Privacy Policy, available at [Insert Link to Privacy Policy].
  • We implement commercially reasonable administrative, physical, and technical safeguards designed to protect the security and confidentiality of your data.
  • FastPay does not store or process raw credit card numbers or sensitive payment credentials; all payment processing remains handled directly by Stripe.


8. Statutory Guarantees & Disclaimer of Warranties

  • Consumer Guarantees: Nothing in this Agreement excludes, restricts, or modifies any guarantee, warranty, term or condition, right, or remedy implied or imposed by law (including Australian Consumer Law) that cannot lawfully be excluded or limited.

  • General Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND SUBJECT TO ANY NON-EXCLUDABLE CONSUMER GUARANTEES, FASTPAY IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. YADYAP PTY LTD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

  • Financial Record Accuracy: YADYAP PTY LTD DOES NOT WARRANT THAT FINANCIAL DATA SYNCHRONIZED BY THE SOFTWARE WILL ALWAYS BE FREE FROM DISCREPANCIES OR OMISSIONS. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF YOUR FINANCIAL RECORDS IN QUICKBOOKS.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YADYAP PTY LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE FASTPAY.


IN NO EVENT SHALL YADYAP PTY LTD’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT PAID BY YOU TO YADYAP PTY LTD FOR FASTPAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


10. Indemnification

You agree to defend, indemnify, and hold harmless YadYap Pty Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Your misuse of FastPay.
  • Your breach of this Agreement.
  • Your violation of any third-party rights, including Stripe or QuickBooks policies.
  • Any tax reporting, accounting errors, or financial regulatory violations resulting from your business records.


11. Term & Termination

  • Term: This Agreement is effective upon your first access or use of FastPay and remains in effect until terminated.
  • Termination by You: You may terminate this Agreement at any time by cancelling your account and discontinuing use of the Software.
  • Termination by Us: YadYap Pty Ltd may suspend or terminate this Agreement immediately without prior notice if you breach any term of this Agreement.
  • Effect of Termination: Upon termination, your license to use FastPay ceases immediately, and you must disconnect all API integrations. Sections 6, 8, 9, 10, and 12 shall survive termination.


12. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Queensland, Australia. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts operating in that jurisdiction.


13. Changes to this Agreement

YadYap Pty Ltd reserves the right to modify this EULA at any time. We will notify you of material changes by updating the "Last Updated" date or by providing notice within the Application. Your continued use of FastPay after such updates constitutes your acceptance of the revised Agreement.
