FASTPAY APP TERMS OF SERVICE

These App Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between YadYap Pty Ltd (ABN: 67 634 645 677 / ACN: 634 645 677) ("YadYap", "Company", "we", "us", or "our") and the individual or business entity ("User", "Customer", "you", or "your") registering for, accessing, or using the FastPay application, software-as-a-service (SaaS) platform, APIs, and associated sync tools (collectively, the "Application" or "Service").


By creating an account, connecting your Stripe or QuickBooks accounts to FastPay, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use FastPay.


1. Description of Service

FastPay is an automated financial integration platform that connects your Stripe payment gateway account with your QuickBooks accounting software account. The Service facilitates the automated transfer, synchronization, fee separation, multi-currency conversion mapping, tax code alignment, and payout matching between Stripe and QuickBooks.


2. Account Registration & Eligibility

  • Eligibility: You must be at least 18 years of age and operating a valid business entity to use FastPay.
  • Account Security: You are responsible for maintaining the confidentiality of your FastPay credentials, OAuth tokens, and access logs. You are fully responsible for all activities that occur under your FastPay account.
  • Notification: You agree to notify YadYap immediately at support@yadyap.com.au upon becoming aware of any unauthorized use of your account or security breach.


3. Subscription Plans, Fees & Billing

  • A. Subscription Term & Billing Cycles
    Access to FastPay is billed on a subscription basis (monthly or annually) according to the plan selected during registration. Billing commences on the day you subscribe or when a free trial period concludes.
  • B. Payment Processing
    Subscriptions are billed automatically using the payment method provided upon registration. You authorize YadYap to charge applicable recurring subscription fees to your payment method until cancelled.
  • C. Volume Limits & Plan Overage
    Subscription tiers may carry transaction volume or synced row limits. Exceeding your plan’s limits may result in automated usage overage charges or temporary suspension of sync processing until upgraded to a higher tier.
  • D. Refunds & Cancellations
    Cancellation: You may cancel your FastPay subscription at any time via your account settings dashboard. Cancellation takes effect at the end of your current paid billing period.
    Refund Policy: Subscription fees are non-refundable, except as required under statutory law (including the Australian Consumer Law) or where explicitly agreed in writing by YadYap.


4. Third-Party Integrations (Stripe & QuickBooks)

  • Independent Third Parties: FastPay relies on application programming interfaces (APIs) provided by Stripe, Inc. ("Stripe") and Intuit Inc. ("QuickBooks"). FastPay is an independent integration product developed by YadYap Pty Ltd and is not owned, operated by, or directly affiliated with Stripe or Intuit.
  • Third-Party Compliance: Your use of FastPay requires active, fully compliant accounts with both Stripe and QuickBooks. You remain strictly bound by Stripe’s Services Agreement and Intuit’s Terms of Service.
  • API Availability: YadYap is not responsible or liable for sync failures, performance delays, or data transfer errors caused by outages, API changes, rate limits, account suspensions, or service disruptions imposed by Stripe or Intuit.
  • Data Authorization: By linking Stripe and QuickBooks to FastPay, you explicitly authorize YadYap to access, read, process, transform, and write customer, transaction, payout, invoice, and ledger data between both platforms on your behalf.


5. Financial Data Accuracy & User Responsibility

You acknowledge and agree that FastPay is an automated data processing tool and does not constitute accounting, tax, auditing, or bookkeeping advice.

  • User Audit Duty: You remain solely responsible for reviewing, auditing, and verifying the accuracy of all general ledger entries, payouts, sales tax calculations, fees, and customer profiles synchronized into QuickBooks.
  • No Accounting Liability: YadYap shall not be liable for any tax filing errors, financial misstatements, incorrect bank reconciliations, loss of audit trails, or inaccurate financial reporting resulting from your use of or reliance on FastPay.


6. Acceptable Use & License Restrictions

YadYap grants you a limited, non-exclusive, non-transferable, revocable license to access and use FastPay solely for your internal business operations.

You agree that you will not:

  • License, sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit FastPay to third parties as a managed service.
  • Modify, make derivative works based upon, or reverse engineer any part of FastPay's source code, database structures, or sync algorithms.
  • Use FastPay to process data for fraudulent, unlawful, deceptive, or unauthorized payment transactions.
  • Send automated high-frequency API calls that disrupt, overload, or degrade the security or performance of FastPay infrastructure.
  • Circumvent subscription limits, account access controls, or security mechanisms built into the Service.


7. Data Privacy & Security

  • Privacy Policy: Our collection, storage, and processing of personal and business data are governed by our [Privacy Policy], which complies with the Australian Privacy Principles (Privacy Act 1988 Cth) and the GDPR.
  • Sensitive Credentials: FastPay does not collect, process, or store raw credit card numbers, CVVs, or sensitive payment credentials. Payment processing remains exclusively within Stripe’s PCI-DSS compliant environment.
  • Data Security: YadYap maintains commercially reasonable administrative, physical, and technical safeguards (including SSL/TLS encryption for data in transit and AES-256 for stored API tokens) designed to protect your connected account credentials and sync logs.


8. Intellectual Property Rights

All rights, title, and interest in and to FastPay—including but not limited to software code, algorithms, user interfaces, documentation, trade secrets, logos, and trademarks—are and shall remain the exclusive property of YadYap Pty Ltd.


This Agreement grants you a right to access and use the Service; it does not transfer any ownership rights or intellectual property to you or your business.


9. Warranties & Statutory Guarantees

  • Statutory Guarantees: Nothing in this Agreement excludes, restricts, or modifies any non-excludable consumer guarantee, warranty, or condition under applicable legislation, including the Australian Consumer Law (ACL).

  • Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY LAW (SUBJECT TO NON-EXCLUDABLE CONSUMER GUARANTEES), FASTPAY IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YADYAP PTY LTD DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT FASTPAY WILL OPERATE UNINTERRUPTED, ERROR-FREE, OR WITHOUT DATA SYNC DELAYS.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YADYAP PTY LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES—INCLUDING LOSS OF PROFITS, DATA, GOODWILL, REVENUE, OR BUSINESS INTERRUPTION—ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE FASTPAY.


IN ALL CASES, YADYAP PTY LTD’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO YADYAP PTY LTD FOR FASTPAY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.


11. Indemnification

You agree to defend, indemnify, and hold harmless YadYap Pty Ltd, its officers, directors, employees, and agents from and against any third-party claims, suits, liabilities, damages, losses, costs, or legal fees arising out of or related to:

  • Your breach of any provision of this Agreement.
  • Your violation of any applicable financial, tax, or privacy law.
  • Data transmitted or synchronized through your Stripe or QuickBooks accounts.
  • Misstatements, errors, or inaccuracies in your QuickBooks financial records or tax filings.


12. Suspension & Termination

  • Termination by You: You may cancel your FastPay account at any time via the billing dashboard.
  • Suspension/Termination by YadYap: We reserve the right to suspend or terminate your account immediately without prior notice if:
  • You fail to pay due subscription fees.
  • You breach any material provision of these Terms.
  • We suspect fraudulent, illegal, or abusive usage of the FastPay application.
  • Effect of Termination: Upon termination, your right to access FastPay ceases immediately, your API connection tokens are revoked, and automated background data syncs will stop. Sections 5, 8, 9, 10, 11, and 13 shall survive termination.


13. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to conflict of law principles.

You and YadYap Pty Ltd agree to submit to the exclusive jurisdiction of the courts operating in Queensland, Australia, for the resolution of any legal proceedings or disputes arising under or in connection with this Agreement.


14. Modifications to the Terms & Service

Service Changes: YadYap reserves the right to modify, add, or discontinue features within FastPay at any time to accommodate API updates from Stripe or QuickBooks, security enhancements, or market demands.

Terms Updates: We may update this Agreement from time to time. We will notify you of material changes by posting the updated terms on our web portal or sending an email notification. Continued use of FastPay after such notification constitutes acceptance of the revised Terms.
